Terms of Service

These Terms of Service form an agreement between you and Responsly governing your access to and use of the Responsly website, application, and related services, together referred to as the Service. Please read them carefully and keep a copy for your records.

Acceptance of these terms

By creating an account, connecting a Google Business Profile, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these terms and by our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these terms, and references to you include that business. If you do not agree, do not use the Service.

Your account

You must provide accurate information when you register and keep it current. You are responsible for all activity that occurs under your account and for keeping your credentials and connected integrations secure. You must be at least eighteen years old and capable of forming a binding contract. Notify us promptly at hello@responsly.ai if you suspect unauthorized use of your account.

Subscriptions, billing, and renewals

Plans are billed monthly in advance, in United States dollars, according to the plan you select. Every plan includes one location, and you may add extra locations for an additional monthly fee per location. Unless you cancel before the end of the current billing period, your subscription renews automatically at the then current rate, and you authorize us to charge your payment method for each renewal.

• Fees are stated exclusive of taxes, which you are responsible for where applicable.
• You may cancel at any time from your account. Cancellation takes effect at the end of the current period, and access continues until then.
• We may change pricing or plan features with reasonable advance notice. Changes apply to the next billing period after the notice.

Acceptable use

You agree to use the Service lawfully and responsibly. You will not:

• Connect, monitor, or reply to profiles that you do not own or are not authorized to manage.
• Publish replies that are unlawful, deceptive, defamatory, harassing, or that misrepresent your business.
• Attempt to access accounts, data, or systems that do not belong to you, or interfere with the security or operation of the Service.
• Reverse engineer, scrape, resell, or build a competing product from the Service except as permitted by law.
• Use the Service to send spam or to violate the policies of Google or any other integrated platform.

Google Business Profile data and your authorization

Responsly works by connecting to your Google Business Profile through Google authorization. When you connect, you grant Responsly permission to read your reviews and locations and, where you enable it, to publish replies on your behalf. You represent that you are authorized to grant this access for every profile and location you connect. You can review what is connected and disconnect any profile at any time, which stops future syncing and replying for that profile.

AI generated replies

Responsly drafts replies using artificial intelligence, grounded in information about your business. These drafts are suggestions. You are responsible for everything published from your account, whether you approve a reply manually or enable automatic replying. AI output can be inaccurate or inappropriate for a given situation, so you should configure your settings, review your tone, and monitor published replies to ensure they are accurate, truthful, and suitable. By enabling automatic replying, you accept responsibility for replies posted without individual review.

Intellectual property

The Service, including its software, design, and content we provide, is owned by Responsly and its licensors and is protected by intellectual property laws. We grant you a limited, non exclusive, non transferable right to use the Service while your account is active and in good standing. Your reviews, business information, and the replies you publish remain yours. You grant us the rights needed to process that content to operate and improve the Service as described in our Privacy Policy.

Third party services

The Service relies on third parties, including Google, for authentication, review data, and reply publishing. Your use of those platforms is also governed by their own terms and policies. We are not responsible for the availability, accuracy, or actions of third party services, and changes they make may affect how the Service works.

Disclaimers

The Service is provided on an as is and as available basis without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will run without interruption or errors, that it will be perfectly secure, that AI generated content will be accurate, or that the Service will improve any specific business outcome or rating.

Limitation of liability

To the maximum extent permitted by law, Responsly and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if necessary to protect the Service or other users. On termination, your right to use the Service ends and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive, including intellectual property, disclaimers, and limitation of liability, will continue to apply.

Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated terms. If you do not agree, you should stop using the Service.
